1. Acceptance of these terms

These Terms and Conditions (the “Terms”) govern your use of govida.ca (the “Site”), operated by Vida Auto (“Vida”, “we”, “us” or “our”). By accessing or using the Site, including submitting a request through it, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

You must be the age of majority in your province (18 in Alberta and Saskatchewan, 19 in British Columbia) to submit a financing request.

2. Who Vida Auto is

Vida Auto is a vehicle financing broker and matching service. We are not a lender, a bank or a dealership, and we do not provide financing directly. We work with Canadian banks and lender partners to identify financing options for you, and with a network of dealer partners to help you find a vehicle.

Any financing agreement is between you and the lender. Any vehicle purchase is between you and the dealer. The lender’s and dealer’s own documents, terms and policies govern those relationships.

3. No guarantee of approval, rate or terms

Nothing on the Site is an offer, commitment or guarantee of financing. All financing is subject to lender approval and applicable terms. Whether you are approved, and on what amount, rate, term and conditions, is decided solely by the lender based on its own criteria. Vida does not guarantee that you will be approved, that any particular rate or payment will be available, or that any lender will make an offer.

Statements such as “all credit situations welcome” mean that we will try to find options for a wide range of credit profiles. They do not mean that options will be found in every case.

4. Payment calculator and estimates

The Site includes a payment calculator. It is provided for general information only.

Payment figures are estimates only and are not an offer, approval or guaranteed rate. Actual terms depend on lender approval, your credit profile, the vehicle and applicable taxes and fees.

In particular:

• Results are calculated from the values you enter using standard amortization math. They are not based on your credit profile and are not an offer, quote, approval or pre-approval.
• Results do not include GST or other applicable taxes; dealer, lender or documentation fees; registration; insurance; extended warranties or other protection products; or any add-ons, unless you include them in the vehicle price yourself.
• The interest rate is one you choose or a default we supply for illustration. Your actual rate, if a lender approves you, may be higher or lower.
• Actual payments, interest and total cost are set out in the documents you sign with the lender and dealer. If anything on the Site conflicts with those documents, the documents govern.

Nothing on the Site is financial, legal or tax advice. Consider getting independent advice before making a financing decision.

5. What “pre-approval” means on this Site

On the Site, “Get Pre-Approved” starts a request for Vida to explore financing options for you. It is not an approval, a pre-approval from a lender or a commitment of any kind.

After you submit your contact details, Vida may, with your consent, perform an initial soft credit inquiry to understand what options may be available to you. A soft inquiry does not affect your credit score. Before any financing is provided, you will need to complete a full application with a lender, which typically involves a hard credit inquiry, and the lender will need to approve it.

6. Information you provide

You agree that the information you provide through the Site is accurate, complete and about you, and that you are authorized to provide it. You are responsible for keeping the phone number and email address you give us up to date, since we and the lenders we work with rely on them to reach you.

Inaccurate or incomplete information can delay your request or lead a lender to decline it. We and our partners may verify the information you provide.

Please do not send us a Social Insurance Number, banking credentials, account numbers or documents through the Site. If a lender needs information like that, it is collected through a separate secure process.

7. Vehicle availability

Vehicles are supplied by our dealer partners, not by Vida. Availability, price, condition, mileage, specifications and delivery arrangements are determined by the dealer and change without notice. Nothing on the Site is an offer to sell a vehicle, and we do not guarantee that a particular vehicle, or a vehicle of a particular type, price or age, will be available to you.

References to the number of vehicles available through our network describe the combined inventory of our dealer partners at a point in time and are not a guarantee of selection. Your approval from a lender may also limit the vehicles you can choose, for example by price, age or mileage.

8. Intellectual property

The Site and its content, including text, graphics, logos, design, and the calculator and its code, are owned by Vida or its licensors and are protected by Canadian and international copyright and trademark law. You may view, download and print pages for your personal, non-commercial use in connection with a financing request. You may not copy, reproduce, republish, scrape, frame or otherwise use the Site or its content for any other purpose without our written permission.

9. Acceptable use

You agree not to:

• use the Site for any unlawful purpose or in a way that breaks these Terms;
• submit false, misleading or fraudulent information, or information about another person without their authority;
• use bots, scrapers or other automated means to access the Site or submit forms;
• attempt to gain unauthorized access to the Site, its servers or the systems of our service providers;
• interfere with the operation or security of the Site, including by overloading it or introducing malicious code; or
• reverse engineer or copy any part of the Site.

We may suspend or block access to the Site, and decline or cancel a request, if we believe these Terms have been breached.

10. Third-party links and services

The Site may link to websites and services operated by lenders, dealers and other third parties, and it uses third-party services for hosting, email, analytics and advertising as described in our Privacy Policy. We do not control those sites and services and are not responsible for their content, availability or privacy practices. Your use of them is governed by their own terms and policies.

11. Disclaimer of warranties

The Site and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Vida disclaims all warranties, express or implied, including any warranty that the Site will be accurate, complete, current, uninterrupted, error-free or free of harmful components, and any implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Information on the Site is general in nature and may not apply to your situation. Vida does not warrant that any financing option or vehicle will be suitable for you.

12. Limitation of liability

To the fullest extent permitted by law, Vida and its directors, officers, employees, contractors and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, savings, data, goodwill or opportunity, arising out of or related to your use of or inability to use the Site, any reliance on its content, or any financing or vehicle transaction with a lender or dealer, even if we were advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for all claims relating to the Site is limited to one hundred Canadian dollars (CA$100).

Some jurisdictions do not allow certain exclusions or limitations. Nothing in these Terms limits any rights you have under consumer protection laws that cannot be waived, or excludes liability that cannot be excluded by law.

13. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict-of-law rules. You agree that the courts of Alberta have jurisdiction over any dispute relating to the Site or these Terms, except that nothing in this section prevents you from bringing a claim in your local courts where consumer protection law gives you that right.

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.

14. Changes to these terms

We may update these Terms from time to time. When we do, we will post the new version on this page and update the effective date at the top. Your continued use of the Site after a change takes effect means you accept the updated Terms. The version in effect when you submit a request applies to that request.
